Definitions

In this Agreement the terms have the following meanings:

1. “Client” means any person, company, partnership, organisation or body at whose application, Table Planning agrees to provide the services under the terms of the agreement.
2. “Agreement” means the Client contract between Table Planning and the Client to which these conditions will apply.
3. “Order” is the request by the Client for services in the agreement.
4. “Design” is the graphic planning diagram produced through the Table Planning service website.
5. “Service” is the overall functionality of the site used for Table Planning purposes for the Client.

Scope

This Agreement shall apply to all services supplied to the Client by Table Planning, including site content, copy held within the site, and any other written or pictorial material therein. By agreeing to these Terms of Business your statutory rights, or those of the Client organisation, company or partnership are not affected. The Terms and Conditions comprise all the terms of the contract, making other statements (written or oral) without legal effect. These Terms and Conditions subsequently prevail over any of those submitted by the Client.

Payment

1. All fees will be payable in full immediately upon the Client accessing the site www.tableplanning.com and subscribing to the Service, unless otherwise stated.
2. Any cheque or direct debits returned by the bank will incur a £35 administration charge. This will be invoiced and will be added to the total outstanding debt owed by the Client.
3. Late payments for administration charges will be charged interest at 5% above the Bank of England base rate.
4. Whilst any payment due under the agreement remains outstanding, Table Planning shall be entitled at its sole and absolute discretion to withhold provision of Service it would otherwise be obliged to submit under the agreement.
5. VAT is not currently charged on our services.

Liability

Table Planning hereby excludes itself and its sub-contractors from all and any liability for loss or damage caused by any inaccuracy; omission; delay or error, whether the result of negligence or other cause in the provision of service; all and any liability for loss or damage to Client’s paperwork or materials, supplied for the service or data input to the site www.tableplanning.co.uk. In addition, Table Planning shall not be held responsible for the efficacy, value or reliability of any advice given through written copy held on the site, whether it be produced by Table Planning or third party suppliers.

Copyright

All material, both text and images uploaded to the site by the Client and used in the construction of the Client’s Design, will remain the Client’s property. All such material will be assumed to be the property of the Client and free to use without fear of breach of Copyright laws.

The Copyright for all material constituting www.tableplanning.co.uk provided by Table Planning, such as the design, source code, graphics, photographs, video, animation and written copy including articles, will remain the property of Table Planning and cannot be reproduced without prior permission.

Table Planning reserves the right to reproduce any of its Designs for promotional purposes.

Design Creation

On completion of a Design, it will be uploaded to the client area of the Table Planning Web Server or sent in PDF format for approval under the terms of the guarantee. The Design will be password-protected for secure access by the Client.

Termination or Cancellation of Agreement

Should the Client wish to cancel the contract once the initial annual Service fee has been received, this fee will not be refunded to them.
Should Table Planning wish to terminate the contract a full refund will be made to the Client.

Acceptance of Terms of Business

The placing of an order for the Table Planning Service either verbally or in writing will confirm acceptance of the aforementioned conditions.

Severability

In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid, illegal or unenforceable provision.

Provision of Services

Table Planning reserves the right to alter our prices at any time without prior notice. If a quote at an original price has been made it will be valid for 28 days from the date of the invoice and subsequently during the life of the current commission, however additional Services may be charged for using a new pricing structure.

Terms of usage

Service provision: Individual Clients

Upon acceptance of these terms, the Table Planning Service can only be used by the individual who has signed the agreement with Table Planning. Should subsequent individuals require access to the Service, additional access will need to be purchased.

Service provision: Venues

When the Table Planning Service is purchased for use by a venue, only those individuals employed at that specific venue are entitled to access the Table Planning Service. Should sister or affiliate venues require the Service, additional access will need to be purchased.

In the event that Table Planning discovers that a designated individual or venue has enabled unauthorised users to access and employ the services of the Table Planning facility, all access will be suspended until such time as the unauthorised individuals or venues concerned have fully subscribed to the Service.

The Table Planning Design Process

All liabilities for errors, changes, or alterations on table plans or other Services become the responsibility of the Client once a Design has been approved by the Client.

The client is ultimately responsible for checking the correctness of the Table Planning Design before use.  

Table Planning produces Table Planning Designs where every effort is made to display the pages on a website acceptably on the most popular browsers currently available, however we cannot accept responsibility for pages which don’t display properly on different versions of browsers.

Alterations to Terms of Business

Table Planning will reserve the right to alter these Terms of Business at any time.

Law

The formation, construction and performance of this contract shall be governed in all aspects by English law.  It is agreed that the English courts shall have the sole jurisdiction to decide any dispute arising out of or in connection with the formation, construction or performance of this contact.
